Your access to and use of the Site (collectively, your “Access”) is conditional upon your acceptance and compliance with the terms, conditions, notices and disclaimers contained on this page and elsewhere on the Site ("General Conditions"). The Coach Hive and Aspect Business Services Pty Ltd ("the Coach Hive") reserves the right to amend the General Conditions at any time and you should periodically refer to them on this page and elsewhere on the Site.

Ownership of content on the site
The materials displayed on the Site, including without limitation all information, text, materials, graphics, software, tools, results derived from the use of software and tools, advertisements, names, logos and trade marks on the Site ("Content") are protected by copyright, trade mark and other intellectual property laws unless expressly indicated otherwise on the Site. The answers or advice provided by the Coach Hive Service Provider members in the Ask an Expert Forum is provided for informational purposes only.  Reliance on any information provided on the Coach Hive website is solely at your own risk.  Aspect Business Services does not assume liability or responsibility for damage or injury to persons or property arising from any use of any service, information, idea, or instruction contained in the materials, answers or comments provided on the Coach Hive website.  Aspect Business Services reserves the right to change or discontinue at any time any aspect or feature of this website.

General Privacy Relating to Disclosure
When voluntarily disclosing personal and/or sensitive information on the Ask an Expert forum, or when signing up to the Coach Hive as a Service Provider member and have your contact details on your profile, you should be aware that such information can be collected and correlated and used by third parties and may result in unsolicited messages from third parties.  Such activities are beyond the control of the Coach Hive.  The Coach Hive does not make any warranties about the discoverability of members' or users' identities by methods beyond our control.


Your Responsibilities
You are responsible for all activity occurring under your User accounts and shall abide by all applicable local, state, national and foreign laws, treaties and regulations in connection with your use of the Service, including those related to data privacy, international communications and the transmission of technical or personal data. You shall: (i) notify Coach Hive immediately of any unauthorized use of any password or account or any other known or suspected breach of security; (ii) report to Coach Hive immediately and use reasonable efforts to stop immediately any copying or distribution of Content that is known or suspected by you or your Users; and (iii) not impersonate another Coach Hive user or provide false identity information to gain access to or use the Service.

Lawful purpose
The Coach Hive may refuse service to anyone. You may use the Coach Hive services only for lawful purposes. You may not transmit any materials that are in violation of any Federal, State or Local laws. You may not transmit any copyrighted materials or material protected by trade secrets. The Coach Hive will make the decision as to whether materials violate its policies.

Use of the Coach Hive website
As a condition of your use of the Coach Hive website, you warrant to Coach Hive that you will not use the Coach Hive website for any purpose that is prohibited by the Terms of Use or that is illegal or unlawful. You agree to abide by all applicable laws and regulations.
Whilst not an exhaustive list, you agree not to:
(i) use the Coach Hive Website to offend others (which shall be judged in the absolute opinion of Coach Hive); (ii) publish, or in any other way distribute or disseminate any information which is unlawful, obscene, defamatory, offensive or inappropriate (which shall be judged in the absolute opinion of the Coach Hive);(iii) engage in, encourage participation or promote any contests, pyramid schemes, surveys, chain letters, spamming or unsolicited emailing through the Coach Hive Website; (iv) use any automated scripting tools or software; make available, using the Coach Hive Website, any material that you do not have a right to make available including under any law or which contains viruses, or other computer codes, files or programs designed to interfere with the functioning of other computer software or hardware; or breach any laws or regulations applicable to your use of the Coach Hive Website of any other laws or regulations. (v) Coach Hive has no obligation to monitor your or anyone else's use of the Coach Hive Website. However, Coach Hive reserves the right at all times to monitor, retain and disclose any information as necessary to satisfy any applicable law, regulation, legal process or governmental request. (vi) find, request, sell, pitch or promote services using Coach Hive that are outside of organisational development services sector.

You may view the Site using your web browser and save an electronic copy, or print out a copy, of parts of this web site solely for your own personal use, information, research or study, but only if you keep all Content intact and in the same form as presented on the Site (including without limitation all copyright, trade mark and other proprietary notices and all advertisements). You must not use the Site or the Content in any manner or for any purpose which is unlawful or in any manner which violates any right of the Coach Hive or which is prohibited by the General Conditions. You must not use the Content for commercial purposes without first obtaining the express written authority of the Coach Hive. You shall not (i) license, sublicense, sell, resell, transfer, assign, distribute or otherwise commercially exploit or make available to any third party the Service or the Content in any way; (ii) modify or make derivative works based upon the Service or the Content; (iii) create Internet "links" to the Service or "frame" or "mirror" any Content on any other server or wireless or Internet-based device; or (iv) reverse engineer or access the Service in order to (a) build a competitive product or service, (b) build a product using similar ideas, features, functions or graphics of the Service, or (c) copy any ideas, features, functions or graphics of the Service.

Member Information
Members of the Coach Hive must provide the Coach Hive with complete, up to date and accurate information as requested and it is the member's responsibility to inform Coach Hive of any changes to that information. All personal information provided to the Coach Hive by a member will be treated in accordance with the Privacy Policy.

Username and Password
Each member username must be a unique, valid and accessible email address.
The Coach Hive member accounts must only be accessed by the authorized account holder, and it is the account holder's responsibility to maintain a secure password. Members must not distribute their username and password to any other individual or third party.
Members must notify Coach Hive immediately if they become aware of any unauthorised use of their member account. Each username and password must be used by a single user and is not transferable.

Email & Notices
Members may amend their email preferences in the profile administration area to opt out of receiving email notification of questions raised on the website which match their areas of expertise. Coach Hive also sends emails and notices regarding the services you provide or requests for further information. This is an implicit part of the service provided by the Coach Hive and may not be stopped without significant impact on your ability to attract organisational development service providers / service users.
Your correspondence with other users of the Coach Hive website, including the development and delivery of related goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between You and such other user. You agree not to hold Coach Hive liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of such other users.
If you send unsolicited email or cross post to Coach Hive members, your member account may be subject to immediate cancellation. The Coach Hive may cancel your account and terminate your services immediately, with no prior notice and no refund of unused service fees. This policy is to promote proper Internet etiquette.

Service Fees:
Fees for service(s) ordered by the Customer shall begin on the date of the initial order and that date shall serve as the anniversary date for all future billings. Fees are due in advance of the service cycle (12 months) and will be billed on the anniversary date of rebilling period.
As per the terms of this agreement, Coach Hive reserves the right to change the membership pricing structure, amounts and policies at its discretion.
All major credit cards are accepted. Processing is done via 3rd party International Creditcard merchant.

GST
Where services are purchased from users within Australia, unless otherwise stated, charges will be treated as GST inclusive. In this case, Coach Hive will issue the user with a Tax Invoice as defined by the A New Tax System (Goods and Services Tax) Act 1999 (the Act). GST means the goods and services tax defined and charged under the Act.

Refund Policy
When you signed up as a GOLD level member of Coach Hive, you agree that this is entirely non-refundable and non-redeemable at the time that payment is made.
You are free to leave Coach Hive and discontinue your membership at any time. This must be done in writing by email to admin@coachhive.com. Any paid mambership fees are not subject to refund.

Privacy & Disclosure
Before accepting these terms, ensure you have read Coach Hive's privacy statement.
By agreeing to the terms, you are also confirming that have read, understood, and are willing to abide to the Privacy Statement.
Coach Hive reserves the right to modify its privacy and security policies in its reasonable discretion from time to time. If you become a member of the Coach Hive, you agree that Coach Hive can disclose the fact that you are a user and the types of services you are using.
Coach Hive explicitly intends to connect providers and users of organisational development services. This inherently means that contact details of members WILL be provided to other members under specific circumstances as confirmed and authorized by you in accepting the terms of this privacy agreement through the Terms of Use agreement. It is important that you understand how and when your contact details will be provided to other members as described in this Privacy Statement.

Intellectual Property
Coach Hive alone shall own all right, title and interest, including all related Intellectual Property Rights, in and to the Coach Hive Technology, the Content and the Service and any suggestions, ideas, enhancement requests, feedback, recommendations or other information provided by you or any other party relating to the Service. This Agreement is not a sale and does not convey to you any rights of ownership in or related to the Service, the Coach Hive Technology or the Intellectual Property Rights owned by Coach Hive Pty Ltd.

Copyright
The material provided on the Coach Hive Website is protected by intellectual property laws including copyright law and trademark law. No part of it should be reproduced, adapted or communicated without the written consent of the copyright owner. You may only use information for your own personal reference. Except where such use constitutes fair dealing under the Copyright Act 1968 or where such use is mandated by the Copyright Act the information found on the Coach Hive Website may not otherwise be used, copied, reproduced, published, stored in a retrieval system, altered or transmitted in any form or by any means in whole or part without the prior written approval of Coach Hive. You may not use any part of the information on the Coach Hive site to establish, maintain or provide, or assist in establishing, maintaining or providing your own publications, Internet site or other means of distribution.

Trademarks
The Coach Hive logo is a registered trademark of Coach Hive Pty Ltd. Other trademarks may be displayed on the Coach Hive Website from time to time. These may belong to third parties. Nothing displayed on Coach Hive should be construed as granting any license or right of use of any logo or trademark displayed on a website, without the express written permission of the relevant owner.

Limitation of Liability
As the user of the Coach Hive Website, you expressly agree and acknowledge that in no circumstances will Coach Hive be liable to you for any indirect, incidental, special and/or consequential losses or damages or loss of profits of any nature arising (including but not limited to any act or omission by Coach Hive) which result from: i) the use of or access to or any inability to use or access the Coach Hive Website or any material on the Coach Hive Website; ii) unauthorised access to your internet transmissions or data; or iii) statements or conduct of any third party on the Coach Hive Website. Excluding liability for negligence the maximum liability of Coach Hive is equivalent to the total of any amounts you have paid to Coach Hive in respect of goods or services supplied to you by Coach Hive through the Coach Hive Website.

Release
In the event that you have a dispute with one or more users of the Coach Hive Website, you release Coach Hive (and our directors, agents, contractors, affiliates, parents, subsidiaries and employees) from claims, demands and damages of every kind and nature arising (whether directly or indirectly) out of such dispute.

Indemnity
You indemnify and release Coach Hive and its directors, employees, agents, contractors, and affiliates from and against any claims, demands, proceedings, losses and damages of every kind and nature including reasonable solicitor's fees, made by you or any third party due to or arising (whether directly or indirectly) out of your breach of these Terms and Conditions of Use or your violation of any law or the rights of a third party.

Applicable Law
The Conditions of Use and all other specific and additional terms which govern your use or membership of and access to the Coach Hive Website will be governed by the laws of Victoria, Australia.

Updates to Site(s)
Coach Hive may from time to time and at any time change or discontinue any feature of the Coach Hive Website including content, hours of availability and equipment required for access.
Coach Hive may from time to time change and update the Term of Use at any time. Updated versions of this document will be posted on the Coach Hive Website. You are responsible for ensuring that you regularly review the Coach Hive Website and these Conditions of Use. Your continued use of the Coach Hive Website after any such changes are made will be deemed to constitute your acceptance of those changes.

Termination of User's Account
Without limiting other remedies available to Coach Hive at law, in equity or under this Conditions of Use, we may, in our sole discretion, immediately issue a warning, temporarily suspend, indefinitely suspend or terminate your membership and refuse to provide our service to you if: (i) you breach these Conditions of Use or the Privacy Policy; (ii) we are unable to verify or authenticate any information you provide to us; or (iii) we believe that your actions may cause legal liability to you, Coach Hive users or Aspect Business Services Pty Ltd.
If this happens we may notify you by email. If your use of the Coach Hive Website is cancelled: (i) you are no longer authorised to access the Coach Hive Website or use any Coach Hive service with your registered email address or any other email address you possess; (ii) you will continue to be subject to and bound by all restrictions imposed on you by the Conditions of Use; and (iii) all licenses granted by you and all disclaimers by Coach Hive and limitations of Coach Hive's liability set out in the Conditions of Use or elsewhere on the Coach Hive Website will survive.

Complaints Policy
Coach Hive attempts to resolve any customer complaints and answer any questions as soon as possible from the first contact made by the customer. Complaints may be sent in writing to admin@coachhive.com.

Entire Agreement
This Agreement and those incorporated herein set forth the entire understanding and agreement between the parties with respect to the subject matter hereof.
